1. Introduction
These Terms and Conditions ("Terms") govern the services provided by Simple Solution Firm LLC ("we," "us," or "our") to our clients ("you," "client"). By engaging our services, you agree to these Terms in full.

2. Services Offered
We provide marketing and consulting services, including but not limited to strategic planning, digital marketing, branding, market analysis, and other related services as outlined in individual project proposals or contracts.

3. Payment Terms 

• Fees for services will be outlined in the specific proposals or contracts.
• Payments are due as specified in the agreement; late payments may incur interest or suspension of services.
• All prices are exclusive of applicable taxes unless otherwise stated.

4. No Refund Policy
All payments made to Simple Solution Firm LLC are final. Once services are rendered, no refunds will be given under any circumstances.

5. Client Responsibilities 

• Provide accurate and complete information necessary for the delivery of services.
• Meet deadlines and provide feedback promptly.
• Obtain all necessary approvals or permits for marketing activities.

6. Intellectual Property 

• We retain ownership of any pre-existing intellectual property used in delivering services.
• Deliverables—such as reports, strategies, designs—become the client’s property upon full payment unless otherwise specified.
• The client grants us the right to showcase completed work for marketing and portfolio purposes unless confidentiality restrictions are agreed upon.

7. Confidentiality
Both parties agree to maintain the confidentiality of any non-public information exchanged during the engagement.

8. Limitation of Liability
Our liability for any damages arising out of or in connection with the services shall be limited to the total amount paid by the client for the specific project or service.

9. Termination 

• Either party may terminate this agreement with written notice.
• Upon termination, the client shall pay for all services performed up to the date of termination.

10. Amendments
These Terms may only be amended through a written document signed by both parties.

11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas.

12. Miscellaneous 

• Neither party may assign these Terms without prior written consent.
• If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
